Terms and Conditions

Please read these Terms and Conditions (“Terms”) carefully before enrolling in any program with Instrucly (“we”, “us”, or “our”). These Terms constitute a legally binding agreement between you and Instrucly. By registering for a course, making a payment, accessing our website, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes arising from these Terms shall be resolved in the courts of Ontario.

1. Definitions

  • “Student” or “You”: Any individual who registers for, enrols in, or participates in any course or service.
  • “Tutor”: A certified English instructor employed or contracted by Instrucly.
  • “Services”: All courses, programs, tutoring sessions, and related services provided by Instrucly.
  • “Website”: The official Instrucly website at instrucly.com and associated subdomains.
  • “Package”: A prepaid bundle of tutoring sessions.

2. Enrollment and Registration

2.1 Eligibility

All students must:

  • Provide accurate, complete, and current information at registration
  • Be at least 6 years of age (under 18 requires parental/guardian consent)
  • Have necessary equipment and internet connection for online lessons

2.2 Registration Confirmation

Enrolment is confirmed upon receipt of payment or approved payment arrangement. Instrucly reserves the right to refuse enrolment for false information or disruptive conduct.

2.3 Age Requirements

Students under 18 must have a parent or guardian agree to these Terms on their behalf. The parent/guardian is jointly liable for all obligations.

3. Payment Terms

3.1 Fees

All fees are in US dollars (USD). Prices may change without notice, but once enrolled and paid, your fee will not increase.

3.2 Payment Due

Payment is required before commencing sessions unless arranged in writing. Late payments may result in service suspension.

3.3 Accepted Payment Methods

Credit/debit cards (Visa, Mastercard), PayPal, bank transfers, and regional payment methods. Processed through secure third-party processors.

3.4 Outstanding Payments

All outstanding payments must be settled before final sessions. Two consecutive missed payments on instalment plans will result in suspension.

4. Cancellation and Rescheduling Policy

4.1 Student Cancellations

At least 24 hours’ notice required to cancel or reschedule without penalty. Less than 24 hours = lesson forfeiture. No-shows = lesson forfeiture.

4.2 Tutor Cancellations

We may cancel due to tutor illness, technical issues, or circumstances beyond our control. We will reschedule at no additional cost.

4.3 Rescheduling Limit

Up to 2 reschedules per 4-week period without penalty (24+ hours notice). Additional requests subject to availability.

5. Refund Policy

5.1 Satisfaction Guarantee

Not satisfied after first two lessons? Full refund of remaining package balance. Applies only to first-time students on first package.

5.2 Pro-Rata Refunds

After first two lessons, pro-rata refund for unused sessions minus 10% administrative fee. Submit requests to hello@instrucly.com.

5.3 Non-Refundable Items

Completed lessons, admin fees, accessed digital materials, and missed lessons due to no-shows or late cancellations.

5.4 Processing Time

Approved refunds processed within 14 business days via original payment method.

6. IELTS Score Improvement Guarantee

For IELTS package students, we guarantee minimum 0.5 band improvement upon completion. To qualify:

  • Complete all scheduled sessions
  • Complete all assigned homework and practice materials
  • Take pre and post-assessment mock tests

If conditions met but improvement not achieved, additional tutoring sessions provided at no charge.

7. Student Conduct

Students agree to:

  • Arrive on time for all scheduled lessons
  • Treat tutors, staff, and other students with respect
  • Provide accurate and truthful information
  • Complete assigned homework and exercises
  • Not record, distribute, or share lesson content without permission

Zero-tolerance policy: Harassment, abuse, or threatening behaviour results in immediate removal without refund.

8. Intellectual Property

All website content and lesson materials are Instrucly’s intellectual property, protected by Canadian copyright law. Students granted a limited, non-exclusive licence for personal educational use only.

9. Limitation of Liability

To the maximum extent permitted by law, Instrucly is not liable for indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed the amount paid for the specific service giving rise to the claim.

Instrucly is not responsible for IELTS test results, as success depends on individual skill, preparation, and test-day performance.

10. Privacy

Our Privacy Policy at instrucly.com/privacy-policy governs our collection, use, and disclosure of personal information.

11. Electronic Communications

By providing contact information, you consent to receive electronic communications regarding your enrolment and service updates. Marketing communications require express consent; you may opt out anytime.

12. Amendments

We may update these Terms. Changes posted with updated effective date. Material changes communicated via email. Continued use constitutes acceptance.

13. Severability

If any provision is invalid, it shall be severed and remaining provisions continue in full force.

14. Governing Law

Governed by the laws of Ontario and Canada. Disputes resolved exclusively in Ontario courts.
